For the Pay Now Direct WordPress Plugin

1. Introduction

This End User Open Source Licensing Agreement (“Agreement”) governs your use of the Pay Now Direct WordPress plugin (“Plugin”), developed and distributed by Pay Now Direct, Inc. (“Company,” “we,” or “us”). By downloading, installing, or using the Plugin, you (“User” or “you”) agree to be bound by this Agreement.

2. Open Source License

The Plugin is licensed under the GNU General Public License, Version 3 (GPL-3.0). Under this license, you are free to:
– Redistribute copies of the Plugin;

Any redistribution or modification must comply with the terms of GPL-3.0, including the requirement to disclose source code when distributing derivative works.

3. Service Tiers and Payment Terms

While the Plugin itself is distributed under GPL-3.0, the Company provides transaction processing services connected to the Plugin that are subject to the following terms:

– Free Tier: No annual fee. Transactions are processed at a 3.6% rate.
– Premium Tier: Annual subscription of $359.99 per year. Transactions are processed at a 2.9% rate.

By enabling payment processing through Pay Now Direct, you agree that all transactions will be subject to the applicable rate plan you select.

3.1 Billing

– Premium Tier fees are billed annually in advance and are non-refundable.
– Transaction fees are automatically deducted from each processed payment.
– The Company reserves the right to adjust rates and fees with 30 days’ written notice.

4. Ownership and Trademarks

The Plugin is licensed, not sold. Pay Now Direct retains ownership of all branding, logos, and trademarks associated with the Plugin and related services. You may not use Pay Now Direct’s trademarks without prior written consent.

5. Compliance and Use Restrictions

You agree not to use the Plugin or services:
– In violation of applicable law, including USDA/FNS requirements for SNAP EBT transactions;
– To process fraudulent, illegal, or abusive transactions;
– In a way that damages or interferes with the Plugin’s functionality or Company’s services.

6. Support and Updates

– Community support for the Plugin is provided free of charge through open-source channels.
– Premium Tier subscribers may receive additional support and updates as defined in their subscription plan.

7. Disclaimer of Warranties

The Plugin is provided “as is” without warranty of any kind. The Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

In no event shall the Company be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Plugin or related services, even if advised of the possibility of such damages. The Company’s total liability shall not exceed the amount you paid to the Company in the 12 months prior to the claim.

9. Termination

This Agreement is effective until terminated. The Company may suspend or terminate your access to payment processing services if you breach this Agreement. Open-source licensing rights under GPL-3.0 remain in effect regardless of termination of services.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company with respect to the Plugin and supersedes all prior agreements or understandings.
